Non-executives - every home should have one?

I’ve been a Non-Executive Director of professional practices, an engineering company, property developer, advertising agency and a Venture Capital Trust. I think every business should have one.

Or more.

But why? If you read most definitions Google can provide, you’ll come away thinking that an NED is inevitably a pompous old f**t with one eye on the clock and the other on the liability insurance.

Regrettably, some are. Not the ones I would choose for you, and certainly not how I do it.

Here’s an extract from an email I sent to a client, followed by my definition and characteristics of an NED appointment. That may even make you think you’d like to try one for size. If you do – you know where to go next.

Here’s the email:

"This must not be a lazy NED that is there for the lunch, the qudos and the good times. It needs to be a feisty performer who is unafraid of stating a case and taking a position. These people exist. In my experience management are foolish to resist them - they often guide the whole team, as well as the business, to a better place.

  • My capsule definition of a non-executive is that they should be able to “tell you in minutes what you may never otherwise learn”. This expresses best what a fruitful non-executive relationship can bring – breadth of experience, perspectives and contacts anew.
  • A good non-executive will have deep knowledge of the nature of the business and people he is to assist, but will maintain his view from a fresh angle to those involved in the day to day.
  • He or she will be patient and willing to learn, but unafraid to speak out and ready to support his views.
  • A non-executive is there for the business as a whole and should be expected by all partners, owners and managers to provide a view which is unbiased by any personal or historical factor. He or she should apply knowledge objectively and always be able to demonstrate this impartiality.
  • A non-executive is not a touchline judge. He or she should be ready to participate on behalf of the business to protect and further its interests. This is more than simply sharing an address book – it is the willingness to become a buffer, a broker, a trouble-shooter; to take the initiative in the inevitable situations where impartiality and independence are valuable currency.

There are relatively tried and tested methods of remuneration for non-executives and this should never be a barrier – nor should it be. The company expects value and the NED wants to be motivated to provide it. There will be a way."
